Terms of Service

1. Introduction

Welcome to Qualify You.

These Terms of Service ("Terms") govern access to and use of the Qualify You website, organization platform, user portals, expert portals, venture portals, Labs portal, applications, APIs, program workspaces, communication features, and related digital services (collectively, the "Platform").

Qualify You provides a platform for organizations to operate expert-led mentorship, training, entrepreneurship, workforce-development, and sponsored programs. Qualify You also provides services for individuals to discover experts and participate in mentorship programs and expert-led cohorts. Where available, Qualify You offers Qualify You Labs (also referred to as Launch Shell or Hands-On Labs): interactive cloud lab environments for learning, assessment, and technical practice.

By creating an account, accepting an invitation, joining an organization-sponsored program, creating or managing an organization, purchasing a service, topping up or using a Labs wallet, launching a lab session, buying or releasing a retained workspace volume, joining a mentorship program or cohort, accessing a program workspace, or otherwise using the Platform, you agree to these Terms and acknowledge our Privacy Policy.

If you use the Platform on behalf of an organization, you represent that you have authority to act on behalf of that organization for the actions you perform.

If you do not agree to these Terms, you must not use the Platform.

2. Definitions

In these Terms:

• Platform means the Qualify You website, portals, dashboards, applications, APIs, program workspaces, Labs portal, communication tools, and related digital services.
• Organization means an institution, company, accelerator, incubator, training provider, university, workforce-development entity, government initiative, NGO, corporate academy, or other entity using Qualify You to operate programs.
• Organization Member means an authorized person who accesses the Organization Portal on behalf of an Organization, including an Owner, Admin, Program Manager, Coordinator, or another permitted role.
• Organization Program means a program created and managed by an Organization through the Platform. An Organization Program may support ventures, individual participants, or both where enabled.
• Venture means a company, startup, project, or other venture workspace participating in an Organization Program.
• Venture Team means the founders, executives, employees, or other authorized individuals invited to participate in a Venture workspace.
• Participant means an individual enrolled in or associated with a program through the Platform.
• Expert, Mentor, or Consultant means a professional who delivers mentorship, consultation, cohort instruction, or other expert-led services through the Platform. An Expert may be independent, affiliated with an Organization, or made available through Qualify You.
• Delivery Program means a structured expert-led engagement under an Organization Program, including 1:1 mentorship, venture mentorship, or an expert-led cohort where supported.
• Mentorship Program means an expert-led mentorship engagement with defined scope, duration, sessions, outcomes, or other delivery terms.
• Expert Cohort means a group-based expert-led program that may include live sessions, assignments, shared resources, feedback, and related activities.
• Program Workspace means the digital workspace used for sessions, assignments, tasks, comments, resources, evaluations, progress, and related program activity.
• Program Supervision means Organization-level visibility into Organization-sponsored delivery activity.
• Program Intelligence means aggregated or derived information generated from eligible program activity, including completed sessions, analysis coverage, topics, outcomes, skills, gaps, follow-ups, and items that may require attention.
• Marketplace Services means services offered directly to individual Users through Qualify You, including expert discovery, mentorship programs, consultations, and Expert Cohorts where available.
• Organization-Sponsored Services means services funded, arranged, or operated by an Organization for its ventures, participants, or teams.
• Subscription means an Organization's right to access specified Platform functionality, limits, and entitlements for a defined period.
• Order Form means a proposal, quotation, subscription confirmation, statement of work, enterprise agreement, pilot agreement, or other written commercial document accepted by Qualify You and an Organization.
• Platform Fees means commissions, service fees, payment processing charges, taxes, or other disclosed amounts retained or charged by Qualify You in connection with applicable transactions.
• User Content means information, documents, files, messages, assignments, comments, resources, submissions, profile information, lab files, terminal output stored by you, or other content uploaded or provided through the Platform.
• Qualify You Labs or Labs means Qualify You's interactive cloud lab product, including the Labs portal, lab templates, launch wizards, browser-based lab shell, billing wallet, session lifecycle, and related infrastructure.
• Labs Portal means the standalone web application used to browse lab templates, estimate and launch lab sessions, manage Labs wallet balance, and access the in-browser lab environment, typically after single sign-on from the User Portal or Expert Portal where enabled.
• Labs Wallet means a prepaid on-demand balance associated with your billing account for Labs usage, which may include separate paid and promotional buckets as shown in the Labs portal.
• Lab Session means a time-bounded cloud lab environment created from a template, subject to configuration, estimates, reservations, usage metering, and lifecycle rules shown in the Platform.
• Labs Estimate means a price quote generated before launch (or before certain resume or extend actions) that reflects selected resources, duration, and applicable commercial rules at the time of calculation.
• Retained Workspace Volume or Project Volume means optional persistent storage purchased for use across compatible Lab Sessions, which may be offered on a prepaid term or on a metered idle-storage basis as disclosed at purchase.
• Platform Quota Credits means non-Labs account credits or quotas that may exist elsewhere in the Platform (for example, legacy user-service credits). Unless Qualify You expressly states otherwise, Platform Quota Credits are not Labs Wallet balance.

3. Eligibility

Unless Qualify You expressly permits otherwise for a specific Organization-sponsored program, you must:

• be at least 18 years old, or the age of legal majority in your jurisdiction if higher;
• have legal capacity to enter into a binding agreement;
• provide accurate, current, and complete information;
• maintain the confidentiality of your account credentials; and
• use the Platform only for lawful purposes.

Where Qualify You expressly allows participation by a person below the age of legal majority, participation may require authorization from a parent, guardian, sponsoring institution, or other lawful representative, as applicable.

Qualify You may refuse, restrict, suspend, or terminate access where eligibility requirements are not met or where use of the Platform violates these Terms or applicable law.

4. Nature of the Platform

Qualify You operates a digital program-management and expert-delivery platform.

The Platform may be used by Organizations to:

• create and manage Organization Programs;
• enroll ventures or individual participants;
• manage venture teams;
• invite and assign Experts or Consultants;
• operate 1:1 mentorship, venture mentorship, or Expert Cohorts;
• manage sessions, assignments, tasks, resources, comments, evaluations, and delivery records;
• supervise Organization-sponsored delivery; and
• access Program Intelligence and related reporting where available.

The Platform may also be used by individuals to discover Experts, purchase or join mentorship programs, join Expert Cohorts, manage sessions, and access related program workspaces.

Where enabled, Experts, candidates, and other authorized users may access Qualify You Labs to run template-based cloud labs, subject to entitlements, wallet balance, Organization arrangements, and product availability.

Qualify You does not guarantee employment, hiring, investment, fundraising, promotion, certification by a third party, salary increases, business growth, program completion, acquisition of a particular skill level, uninterrupted lab availability, or any other professional, educational, commercial, or investment outcome.

Unless expressly agreed otherwise in writing, Qualify You is not the employer of Experts, Organization Members, Venture Team members, or Participants.

5. Role-Based Platform Experiences

Qualify You may provide different portals or experiences based on a person's role.

These may include:

• the Organization Portal for Organization Owners, Admins, Program Managers, Coordinators, and other authorized Organization Members;
• the Expert Portal for Experts, Mentors, and Consultants;
• the Venture Portal for Venture founders and Venture Team members; and
• the User Portal for individual Participants and individual marketplace Users; and
• the Labs Portal for authorized Experts, candidates, and other users entitled to Hands-On Labs.

Features, permissions, and visible information differ by role, Organization, program, subscription, Labs entitlements, and product configuration.

A person may hold more than one role where permitted.

6. Organization Accounts

An Organization may create or be provided an Organization account subject to Platform availability, subscription terms, and any applicable Order Form.

The Organization is responsible for:

• providing accurate Organization information;
• maintaining appropriate access controls;
• ensuring that Organization Members are authorized to act on its behalf;
• promptly removing access when a person no longer requires it;
• ensuring that invitations, participant information, and Expert information provided to Qualify You are lawfully obtained and shared;
• complying with applicable employment, education, data protection, consumer, and sector-specific obligations; and
• using the Platform only for legitimate program operations.

The Organization Owner or another authorized role may invite other Organization Members and assign available permissions.

Qualify You may maintain audit records of significant Organization actions for security, accountability, compliance, and Platform operations.

7. Organization Programs

Organizations may create Organization Programs for use cases such as entrepreneurship, mentorship, technical training, workforce development, graduate development, upskilling, reskilling, sponsored development, or other supported program types.

An Organization Program is an institutional program container. It may contain or connect ventures, Venture Teams, individual Participants, Experts or Consultants, Delivery Programs, sessions, assignments, resources, evaluations, delivery records, progress information, and Program Intelligence.

Available functionality depends on the Organization's Subscription, product configuration, program type, and Platform availability.

8. Participation Models

8.1 Venture-Centric Programs

In a venture-centric program, the Venture is the primary participation unit.

A Venture may have multiple Venture Team members, multiple Experts or Consultants, multiple Delivery Programs, and shared program activity.

Venture Team members may participate in sessions or program activities according to their permissions and the applicable Delivery Program.

8.2 Individual-Centric Programs

In an individual-centric program, each Participant is enrolled as an individual.

Participants may access Organization-sponsored mentorship, Expert Cohorts, sessions, assignments, resources, and other program activity through the User Portal where enabled.

9. Organization-Sponsored Enrollment and Access

Organizations may enroll or invite Participants, Ventures, Venture Team members, or Experts through invitation links, onboarding links, direct enrollment, or other supported methods.

Organization-sponsored Participants and Ventures may access services without purchasing the sponsored delivery themselves where the Organization is funding or operating that delivery.

The Organization is responsible for ensuring it has an appropriate lawful basis to provide contact details or other information used for invitations and onboarding.

Invitation and onboarding links are intended for the authorized recipient or intended program audience and must not be misused, publicly distributed contrary to the Organization's instructions, or used to bypass access restrictions.

10. Organization Members and Permissions

Organization Members receive permissions based on their assigned role and Platform configuration.

Permissions may include the ability to create and manage programs, manage Organization Members, invite or assign Experts, enroll Ventures and Participants, view delivery activity, view Program Intelligence, manage branding, or view subscription information.

Organization Members must not use their access to obtain or disclose information outside their legitimate Organization responsibilities.

11. Ventures and Venture Teams

A Venture may be created, invited, or enrolled into an Organization Program.

Venture information may include its name, website, profile information, team members, business titles, delivery assignments, and program activity.

Authorized Venture users may invite additional Venture Team members where that capability is enabled.

The Venture and its authorized administrators are responsible for ensuring invited team members are authorized to access the Venture workspace.

A Venture may participate in more than one Delivery Program where permitted.

12. Experts, Mentors, and Consultants

Experts may be invited by an Organization, made available through Qualify You, independent professionals, employees or contractors of an Organization, or otherwise affiliated with a sponsoring entity.

The legal and commercial relationship between an Expert and an Organization may be governed by a separate employment, contractor, consulting, or services agreement.

Unless expressly stated in writing, Qualify You does not become the employer, agent, or principal of an Expert solely because the Expert uses the Platform.

Organization-invited Experts are not automatically listed in Qualify You's public expert marketplace. Public marketplace participation may require separate onboarding, review, approval, and commercial terms.

Experts are responsible for the legality, professionalism, and quality of the services they personally provide, subject to applicable Organization requirements, Platform rules, and law.

13. Delivery Programs

Authorized users may create or participate in Delivery Programs under an Organization Program.

A Delivery Program may specify a title, description, outcomes, duration, start and end dates, session cadence, session count, assigned Expert, Venture or Participant association, assignments, tasks, resources, and other supported settings.

The exact workflow depends on the program model and Platform configuration.

14. Sessions, Assignments, Tasks, Comments, and Resources

Program Workspaces may include scheduled or completed sessions, assignments and submissions, tasks, comments, shared resources, evaluations, ratings, attendance information, session status information, and related delivery records.

Users must use shared Program Workspaces professionally and only for legitimate program purposes.

Content shared in a workspace may be visible to other authorized persons in the same program, including relevant Experts, Participants, Venture Team members, and Organization staff according to their permissions.

15. Organization Supervision and Visibility

For Organization-sponsored activity, authorized Organization staff may receive read-only or management visibility into activity occurring under that Organization's programs.

Depending on permissions and product configuration, this may include:

• Participant or Venture association;
• assigned Experts or Consultants;
• Delivery Program details;
• upcoming and completed sessions;
• session status;
• attendance or join information where available;
• assignments and submission status;
• evaluations;
• ratings;
• comments;
• resources;
• progress indicators;
• analysis availability; and
• derived Program Intelligence.

Organization visibility is limited to Organization-scoped activity made available through the Platform.

An Organization does not automatically receive access to a User's unrelated marketplace purchases, unrelated mentorship programs, activity under another Organization, or unrelated private account information.

16. Program Intelligence and Automated Analysis

Qualify You may provide Program Intelligence and other automated or assisted analysis features.

Program Intelligence may process eligible Organization-sponsored activity and produce information such as completed-session counts, analyzed-session counts, analysis coverage, recurring topics, learning or program outcomes, skills covered, skills gaps, action items, follow-up topics, review recommendations, and areas that may require attention.

Program Intelligence may use automated systems, machine-learning models, or third-party AI infrastructure.

Program Intelligence is intended to support program operations and human review. It may be incomplete, inaccurate, or based on limited available data.

Organizations and Users must not treat Program Intelligence as a guaranteed assessment of a person's competence, employability, investment potential, performance, character, or future success.

Where a decision may materially affect a person's employment, education, participation, funding, admission, or similar interests, the responsible Organization must apply appropriate human review and comply with applicable law.

17. Session Recording, Transcription, and Analysis

Certain session or conference features may support recording, transcription, diarization, or automated analysis where enabled.

When recording, transcription, or analysis is enabled, Qualify You or the applicable Organization will provide notices or obtain permissions where required by applicable law and product configuration.

Users must not independently record or distribute sessions in violation of law, confidentiality obligations, Platform rules, or the rights of other participants.

Raw transcripts or recordings are not necessarily available to Organization staff merely because derived Program Intelligence is available.

Access to recordings or transcripts, where offered, may be restricted by role, program settings, legal requirements, and privacy configuration.

18. Individual Marketplace Services

Qualify You may allow individual Users to find Experts, review available mentorship programs, purchase mentorship programs, join Expert Cohorts, book consultations where available, and manage related sessions.

The standard purchase journey for an available paid mentorship program may involve selecting the program, proceeding to checkout, completing payment, and receiving access to the applicable program.

A User is not required to obtain separate Expert approval unless the applicable service expressly states otherwise.

Availability, pricing, scope, and program terms may vary by Expert, program, region, and Platform configuration.

19. Mentorship Programs

A Mentorship Program may include live sessions, scheduled check-ins, assignments, tasks, resources, comments, asynchronous communication, feedback, evaluations, interview preparation where offered, and other components described before enrollment or purchase.

Scope, duration, session count, cadence, deliverables, and other terms are defined by the applicable program description, Organization Program, or checkout information.

Mentorship provides professional and educational support and does not guarantee any specific outcome.

20. Expert Cohorts

Expert Cohorts are group-based programs led by an Expert.

A Cohort may include scheduled live sessions, shared resources, assignments, group learning, feedback, evaluations, and a shared program workspace.

Cohort capacity, duration, session schedule, enrollment conditions, and other terms are shown in the applicable program information.

21. Consultations and One-Off Services

Qualify You may offer expert consultations or other one-off services.

The scope, duration, price, cancellation rules, and deliverables for these services will be displayed or otherwise communicated before purchase or booking.

Unless expressly agreed otherwise, a consultation does not create an ongoing advisory, employment, legal, fiduciary, or agency relationship.

22. Scheduling, Rescheduling, Cancellations, and No-Shows

Scheduling, rescheduling, cancellation, and no-show rules may vary by Organization Program, Delivery Program, Expert, Mentorship Program, Expert Cohort, or consultation.

Applicable rules may be shown in the Platform, program description, Order Form, or Organization-specific program rules.

Repeated failure to attend scheduled sessions without reasonable notice may result in loss of a session, program restrictions, or other consequences permitted by the applicable program rules.

23. Organization Subscriptions

Organizations may access Qualify You through free, pilot, paid, or enterprise Subscriptions.

Each Subscription may include limits or entitlements relating to Organization Members, Organization Programs, Experts, Participants or Ventures, program duration, branding, reporting, Program Intelligence, storage, premium capabilities, or other functionality.

Current limits and entitlements may be described in the Platform, pricing materials, proposal, Order Form, or subscription confirmation.

Qualify You may enforce Subscription limits by preventing additional creation, enrollment, assignment, or use when limits are reached.

Where a program or Subscription expires, Qualify You may restrict new activity, make portions of the program read-only, lock specified actions, or require renewal or upgrade, subject to the applicable plan and Order Form.

Qualify You will not intentionally delete Organization program data solely because a free or paid Subscription expires without applying its then-current retention practices and any applicable contractual or legal obligations.

24. Organization Billing and Commercial Terms

Organization fees may be charged monthly, annually, for a pilot period, or according to another term stated in an Order Form.

Payment may be collected through bank transfer, invoice, online payment, or another agreed payment method.

Where manual payment confirmation is required, Organization access or paid entitlements may begin only after Qualify You confirms payment or otherwise activates the Subscription.

Unless an Order Form states otherwise, Organization subscriptions do not automatically renew solely because a previous term ended.

Taxes, bank charges, currency-conversion costs, withholding obligations, and other payment charges will be handled as stated in the applicable invoice, Order Form, or law.

25. Individual Payments and Checkout

Prices, currency, taxes, and payment methods for individual purchases are shown at checkout or in the applicable service description.

Payments may be processed through third-party payment providers.

You authorize Qualify You and its payment providers to charge the selected payment method for purchases you initiate.

Qualify You does not store full payment card details where those details are processed directly by a third-party payment provider.

A program may not become active until successful payment confirmation is received, unless it is free or Organization-sponsored.

26. Platform Fees and Expert Transactions

Where Qualify You facilitates a paid marketplace transaction involving an independent Expert, Qualify You may collect the payment and deduct applicable Platform Fees before paying the Expert.

Platform Fees may include commissions, service fees, payment processing costs, taxes, or other disclosed deductions.

Expert payout terms may be governed by separate Expert terms, agreements, or policies.

Where an Expert is engaged directly by an Organization, compensation may be governed by the separate relationship between that Organization and the Expert rather than by Qualify You's marketplace payment model.

27. Refunds and Cancellations

27.1 Individual Purchases

For individual marketplace purchases, delivered sessions, consumed program access, completed consultations, delivered digital services, and other consumed benefits are generally non-refundable except where required by law, expressly stated in the applicable program terms, or approved by Qualify You due to a confirmed service failure.

27.2 Organization Subscriptions

Organization Subscription and pilot fees are generally non-refundable after activation unless an Order Form expressly states otherwise or applicable law requires a refund.

27.3 Mandatory Rights

Nothing in these Terms excludes or limits mandatory consumer rights that cannot lawfully be waived.

Where a specific program, checkout flow, or Order Form provides more favorable cancellation or refund terms, those terms will apply to that transaction.

27.4 Qualify You Labs Wallet and Workspace Refunds

Labs usage is generally prepaid through a Labs Wallet. Charges for compute, storage, GPU, optional model inference configured in the lab wizard, and related usage are applied according to estimates, reservations, settlement rules, and pricing shown in the Labs portal at the time of use.

Wallet top-ups, checkout payments, and promotional or paid credits granted by Qualify You or an Organization sponsor are generally non-refundable once credited, except where required by law or expressly stated in the Platform.

Consumed Lab Session time, posted usage charges, and fees after settlement are generally non-refundable.

For prepaid term Retained Workspace Volumes that were never attached to any Lab Session, Qualify You may credit the original purchase amount back to your Labs Wallet when you release the volume through the Labs portal, as described at release. After a volume has been attached or used with a lab, or where metered idle storage has accrued, prepaid term balances and unused time are generally not refunded on release.

Organization bulk Labs stipends credit individual recipient wallets unless an Order Form or Organization agreement states otherwise. Organization pooled Labs billing applies only where the Organization context is explicitly selected or configured for that estimate, launch, or top-up, not merely because a user belongs to an Organization.

28. Organization Branding and White-Label Features

Qualify You may allow Organizations to customize parts of the Platform with their name, logo, colors, description, program branding, or other approved brand assets.

Additional white-label, custom-domain, or advanced branding functionality may be subject to a paid Subscription or separate Order Form.

An Organization retains ownership of its trademarks and brand assets.

The Organization grants Qualify You a limited license to use those brand assets solely to provide the contracted Platform experience and related services.

Use of Organization branding within the Platform does not transfer ownership of the Platform or Qualify You technology to the Organization.

29. User Content and Program Content

You retain ownership of User Content you lawfully own, subject to third-party rights.

By providing User Content through the Platform, you grant Qualify You a limited, non-exclusive, worldwide license to host, store, reproduce, process, transmit, display, analyze, and otherwise use that content as reasonably necessary to provide the Platform, deliver programs, support collaboration, maintain security, generate permitted reporting or Program Intelligence, comply with law, and exercise Qualify You's rights under these Terms.

Experts and Organizations retain ownership of their pre-existing materials unless otherwise agreed.

Participants retain ownership of their original submissions, subject to the limited licenses necessary for evaluation, program delivery, Organization supervision, and Platform operation.

You represent that you have the necessary rights and permissions to upload or share User Content.

30. Confidentiality and Workspace Conduct

Program Workspaces may contain business, educational, technical, or other information that is not intended for public distribution.

Users must respect confidentiality notices and program rules, not disclose another party's confidential information without authorization, not use confidential information for an unrelated purpose, and not download or distribute materials beyond the permissions provided.

These Terms do not replace a separate NDA, enterprise confidentiality agreement, or professional-services agreement.

31. Intellectual Property

The Platform, including its software, designs, workflows, databases, branding, user interfaces, documentation, product structure, and Qualify You-created content, is owned by Qualify You or its licensors and protected by applicable intellectual property laws.

Except where permitted by law or written authorization, you may not copy or reproduce material portions of the Platform, reverse engineer the Platform, bypass access controls, create unauthorized derivative works, resell Platform access, use Qualify You branding without permission, or extract Platform data to create a competing service.

Nothing in these Terms transfers ownership of Qualify You intellectual property to a User or Organization.

32. Acceptable Use

You must not use the Platform to:

• violate applicable law or third-party rights;
• harass, threaten, abuse, discriminate against, or impersonate another person;
• upload malware, malicious code, spam, or unlawful content;
• attempt unauthorized access to accounts, programs, Organizations, Ventures, or data;
• scrape or crawl the Platform through unauthorized automated means;
• circumvent Subscription, payment, security, or access controls;
• interfere with Platform operation;
• submit fraudulent qualifications, assignments, evaluations, or identity information;
• misuse invitations or onboarding links;
• disclose confidential information without authority;
• misuse automated analysis or Program Intelligence to make unlawful or discriminatory decisions; or
• engage in other fraudulent, abusive, or harmful conduct.

Qualify You may investigate suspected violations and take reasonable protective action.

33. Privacy and Data Protection

Qualify You processes personal data in accordance with its Privacy Policy and applicable data protection law.

Depending on the context, Qualify You, an Organization, or both may have responsibilities regarding personal data processed through Organization-sponsored programs.

The allocation of controller, processor, or similar legal responsibilities may be further addressed in an Order Form, Data Processing Agreement, or other applicable agreement.

Organizations are responsible for ensuring that they have an appropriate lawful basis for inviting people to programs, providing personal data to Qualify You, accessing Organization-scoped program activity, instructing Qualify You to process program data, and using information obtained through Program Supervision or Program Intelligence.

Qualify You may use service providers and infrastructure providers to process data on its behalf, subject to applicable contractual, security, and legal requirements.

The Privacy Policy provides additional information about data collection, use, retention, sharing, security, data-subject rights, and related practices.

34. Third-Party Services and Integrations

The Platform may rely on or integrate with third-party services such as payment processors, cloud infrastructure, video or conferencing providers, email providers, communication services, analytics providers, identity services, calendar services, storage services, and AI or machine-learning infrastructure.

Third-party services may be subject to their own terms and privacy practices.

Qualify You is not responsible for third-party services outside its reasonable control, except to the extent required by applicable law or an applicable written agreement.

35. Communications and Notifications

By using the Platform, you may receive operational communications relating to invitations, program enrollment, sessions, reminders, rescheduling, cancellations, assignments, program activity, account security, billing, Subscription status, and service updates.

Operational messages are part of providing the Platform and may not be optional where they are necessary for the service.

Marketing communications, where used, will be handled according to applicable law and available preference controls.

36. Service Availability and Product Changes

Qualify You may update, improve, add, modify, or discontinue Platform features.

The Platform may be unavailable from time to time due to maintenance, upgrades, security events, service-provider outages, internet failures, force majeure events, or circumstances outside Qualify You's reasonable control.

Qualify You will use commercially reasonable efforts to maintain and restore service.

Features labeled beta, pilot, preview, experimental, or similar may be incomplete, changed, or discontinued more frequently than generally available features.

For Organizations with a signed Order Form, material contracted functionality remains subject to that Order Form.

37. Professional, Educational, Business, and Automated-Analysis Disclaimer

Qualify You provides infrastructure for program delivery, expert-led development, collaboration, supervision, and related analysis.

The Platform does not provide licensed legal, medical, financial, investment, tax, or other regulated professional advice unless expressly provided by a properly licensed professional under a separate engagement.

Expert opinions are the responsibility of the Expert who provides them.

Automated or AI-assisted outputs may contain errors, omissions, or incomplete interpretations.

You remain responsible for verifying information and applying appropriate human judgment before making material decisions.

38. No Guarantee of Outcomes

Qualify You does not guarantee employment, recruitment, promotion, salary increases, academic results, professional certification by third parties, investment, fundraising, venture growth, business revenue, acceptance into a program, completion of a program, mastery of a skill, performance improvement, or any specific commercial, educational, or professional outcome.

Program participation and Platform metrics are not guarantees of competence or future success.

39. Recruitment and Other Separately Contracted Services

Qualify You may provide recruitment, talent, consulting, implementation, or other services under separate agreements.

Unless expressly incorporated, those separately contracted services are not governed solely by these Terms.

If a separate signed agreement applies to a specific service, that agreement governs that service and prevails over conflicting provisions of these Terms to the extent stated in that agreement.

40. Suspension and Termination

You may stop using the Platform at any time.

Qualify You may suspend, restrict, or terminate access where reasonably necessary due to violation of these Terms, fraud, abuse, security risk, non-payment, misrepresentation, unlawful conduct, misuse of Organization or program data, infringement of third-party rights, or legal or regulatory requirements.

Organizations may lose access to paid functionality when a Subscription expires or remains unpaid.

Termination does not automatically entitle a User or Organization to a refund except where required by applicable law or an applicable Order Form.

Provisions that by their nature should survive termination, including intellectual property, confidentiality, liability, payment obligations, and dispute provisions, will survive.

41. Limitation of Liability

To the maximum extent permitted by applicable law, Qualify You will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost opportunities, loss of data, employment outcomes, investment outcomes, business decisions, or reliance on Expert guidance or automated analysis.

To the maximum extent permitted by law, Qualify You's total aggregate liability arising out of or relating to the Platform, a specific Service, or these Terms will not exceed the amount paid or payable to Qualify You for the specific Service giving rise to the claim during the twelve (12) months preceding the event giving rise to liability.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.

42. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Qualify You, its affiliates, officers, employees, and contractors from third-party claims, losses, liabilities, damages, and reasonable expenses arising from your unlawful or unauthorized use of the Platform, violation of these Terms, infringement of third-party rights, User Content submitted without appropriate rights, misuse of confidential or personal data, or fraudulent or abusive conduct.

This section does not apply to the extent a claim is caused by Qualify You's gross negligence, willful misconduct, or another circumstance for which liability cannot lawfully be excluded.

43. Enterprise Agreements and Order Forms

Organizations may enter into separate Order Forms, pilot agreements, enterprise agreements, Data Processing Agreements, or other written contracts with Qualify You.

Where a signed or otherwise validly accepted agreement conflicts with these Terms, the specific agreement will govern the conflicting subject matter for that Organization.

Matters commonly governed by an Order Form include Subscription plan, program limits, term, fees, payment schedule, pilot duration, branding or white-label rights, service commitments, implementation, support, data-processing obligations, and other negotiated commercial terms.

44. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Hashemite Kingdom of Jordan, without regard to conflict-of-law principles.

The parties should first attempt to resolve disputes in good faith through direct communication.

If a dispute cannot be resolved amicably, it will fall under the jurisdiction of the competent courts of Amman, Jordan, unless mandatory applicable law requires otherwise.

Nothing in this section limits mandatory consumer or data-protection rights that cannot lawfully be waived.

45. Changes to These Terms

Qualify You may update these Terms as the Platform, business model, law, or regulatory requirements evolve.

The "Last Updated" date will be revised when changes are published.

Material changes may be communicated through email, Platform notice, account notification, or another reasonable method.

Continued use of the Platform after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.

Where additional consent is legally required, Qualify You will seek that consent as required.

46. General Provisions

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect to the maximum extent permitted by law.

Failure by Qualify You to enforce a provision does not waive its right to enforce that provision later.

You may not assign your rights or obligations under these Terms without Qualify You's prior written consent, except where applicable law provides otherwise.

Qualify You may assign these Terms as part of a merger, acquisition, reorganization, financing, or transfer of substantially all relevant business assets, subject to applicable law.

These Terms, together with the Privacy Policy and any applicable Order Form or separate agreement, form the applicable agreement governing use of the Platform.

47. Qualify You Labs (Launch Shell)

This section applies when you access Qualify You Labs through the Labs portal or other supported entry points.

47.1 Product Description

Qualify You Labs provides curated cloud lab templates, configuration wizards, prepaid commercial estimates, session lifecycle controls (including launch, pause, resume, extend, and terminate where supported), and a browser-based lab shell. Lab workloads run on cloud infrastructure operated for Qualify You (including container orchestration on Amazon EKS or successor environments). Features vary by template, entitlement, and environment.

Labs access may require a separate entitlement, allowlist, program enrollment flag, or Expert role, as configured for your account or Organization program.

47.2 Access and Single Sign-On

The Labs portal may be reached through short-lived single sign-on handoffs from the User Portal, Expert Portal, or other supported Qualify You portals. You must safeguard your account credentials and must not share handoff links or session tokens with unauthorized persons.

Separate conference or instructor-session lab entry points may exist for specific delivery contexts. Unless expressly labeled as the standalone Labs product, those paths may have different billing or retention rules.

47.3 Commercial Model and Wallet

Labs uses an on-demand prepaid wallet model unless an Order Form states otherwise for your Organization.

• Estimates: You must request a current Calculate / estimate before launch (and before certain resume or extend actions). Estimates expire and may become invalid if pricing inputs, templates, or commercial configuration change.
• Reservations: Launch and certain continuation actions may place a hold on wallet balance. Available balance is reduced by active reservations until usage settles or reservations release.
• Buckets: Wallet balance may combine paid funds (checkout or paid grants) and promotional funds (promotional grants). Consumption rules may apply promotional balance before paid balance where configured.
• Session minimum: A disclosed minimum charge may apply once per Lab Session when usage settles, even if actual run time is shorter than selected duration, as shown in the Labs portal.
• Pause and resume: Pausing may stop compute metering while paused subject to product rules; storage retention while paused may be limited and volumes may be reclaimed after disclosed retention periods.
• Pricing display: The Labs portal shows customer-facing totals (for example, estimated price, duration, and reserved balance). Internal provider cost, margin, and profit are not contractual pricing disclosures.

Organization funding: Platform administrators may grant Labs credits to individual users or run Organization bulk grants that credit recipients' personal Labs wallets for training cohorts. Bulk grants do not automatically convert Platform Quota Credits into Labs balance. Organization pooled Labs billing applies only when Organization billing context is explicitly provided for that transaction.

Taxes and currency: Prices, currency, taxes, and payment methods are shown at checkout or in the Labs portal. Third-party payment providers process card payments; Qualify You does not store full card numbers where processing is delegated to the provider.

47.4 Retained Workspace Volumes

Where supported, you may purchase Retained Workspace Volumes (project volumes) for persistent files that survive individual Lab Sessions until expiry or release.

• Prepaid term volumes are purchased upfront for a disclosed storage size and term. While active, they may not incur separate idle storage metering until the prepaid term expires, as shown in the product.
• Metered volumes (where offered) may incur idle storage charges after lab activity according to wallet balance and payment-status rules disclosed in the portal, including payment-required or release states after grace periods.
• You may attach compatible volumes when launching eligible templates. You must stop labs using a volume before releasing it.
• Release permanently deletes retained storage and data. See Section 27.4 for refund rules for unused prepaid term volumes.

47.5 Acceptable Lab Use

You must use Labs only for lawful, authorized purposes and in accordance with Section 32 (Acceptable Use). Without limitation, you must not:

• attempt to mine cryptocurrency or perform unrelated high-abuse workloads unless a template expressly permits it;
• probe, scan, or attack Qualify You or third-party systems from lab environments;
• exceed resource limits through intentional evasion or abuse;
• store unlawful content or content that infringes intellectual property or privacy rights; or
• share lab access with unauthorized users.

Qualify You may suspend or terminate Lab Sessions, restrict templates, or suspend accounts for abuse, non-payment, or risk to the Platform or other users.

47.6 Data, Availability, and Changes

Lab Session data (including files on ephemeral or retained volumes) may be deleted when a session ends, when retention timers elapse, when you release a volume, or when Qualify You enforces cleanup for non-payment or abuse.

Qualify You may modify templates, regions, resource limits, pricing, commercial policies, and Labs features. Material commercial changes will be reflected through updated estimates or portal disclosures before new charges apply to new activity.

Labs is provided on an as-available basis. Maintenance, cloud provider incidents, quota limits, or template issues may interrupt sessions. Qualify You does not guarantee uninterrupted lab availability or preservation of unsaved work.

47.7 Relationship to Other Products

Organization Subscriptions, Marketplace Services, and Program Workspaces are separate from Labs wallet billing unless an Order Form integrates them. Mentorship sessions, venture workspaces, and conference tools may link to Labs only where explicitly enabled.
